Terms and Conditions – KI Resepsjonist

These Terms and Conditions ("Terms") govern your access to and use of KI Resepsjonist (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Definitions

  • "Service" refers to the KI Resepsjonist platform, including all AI-powered receptionist features, dashboards, call handling, chat widget, and analytics capabilities.
  • "User" or "you" means any individual or business that creates an account or accesses the Service.
  • "Account" means your registered user profile and all associated data.
  • "Subscription" means a paid or trial plan that grants access to one or more features of the Service.
  • "Content" means any information, data, text, audio, or material you upload, input, or generate through the Service.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract. By using the Service on behalf of a business or organisation, you confirm that you have authority to bind that entity to these Terms.

3. Account Registration

You must provide accurate and complete information when creating your account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately at hallo@omnii.no if you suspect unauthorised access to your account.

4. Subscriptions and Payment

Access to certain features of the Service requires a paid Subscription. By subscribing, you authorise us to charge the applicable fees to your chosen payment method on a recurring basis.

4.1 Billing

Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan you select). Fees are charged at the beginning of each billing period and are non-refundable except as required by applicable law.

4.2 Payment Processing — Stripe

All payments are processed by Stripe, Inc., a third-party payment processor. Your payment information is transmitted directly to Stripe and is subject to Stripe's Privacy Policy and the Stripe Services Agreement. We do not store full card details on our servers.

4.3 Cancellation

You may cancel your Subscription at any time. Cancellation takes effect at the end of the current billing period; you will retain access until then. We do not provide refunds for partial billing periods unless required by applicable law.

4.4 Price Changes

We reserve the right to modify pricing with at least 30 days' advance notice. Continued use of the Service after the effective date of a price change constitutes your acceptance of the new pricing.

5. AI-Powered Services

The Service uses artificial intelligence to provide virtual receptionist capabilities, including natural language understanding, automated responses, and knowledge-base retrieval.

5.1 OpenAI

AI features are powered in part by OpenAI, L.L.C. By using AI features, your input data (such as conversation text, questions, and knowledge-base content) may be transmitted to OpenAI's API for processing. OpenAI processes this data in accordance with its Privacy Policy and Usage Policies. We operate under API terms that prevent your data from being used to train OpenAI's models.

5.2 AI Accuracy Disclaimer

AI-generated responses are provided for informational and convenience purposes only. We make no warranty that responses are accurate, complete, or suitable for any specific purpose. You are responsible for reviewing the accuracy of AI-generated content before relying on it.

6. Telephony Services — Telnyx

Call handling, voice AI, SMS, and related telephony features are delivered through Telnyx LLC ("Telnyx"). Use of these features is also subject to Telnyx's Privacy Policy and Telnyx's Terms of Service.

You acknowledge that:

  • Call recordings and transcripts may be stored by the Service to provide AI features and call analytics.
  • You are solely responsible for complying with all applicable laws governing call recording and monitoring in your jurisdiction, including obtaining any required consent from callers before recording begins.
  • Phone numbers provisioned through the Service are leased from Telnyx and may be subject to availability, regulatory requirements, and reclamation in accordance with Telnyx's policies.
  • We are not liable for interruptions in telephony services caused by Telnyx or upstream carriers.

7. Analytics — Google Analytics

We use Google Analytics, a web analytics service provided by Google LLC ("Google"), to understand how users interact with our platform. Google Analytics may collect information such as your IP address, browser type, pages visited, session duration, and geographic region. This data is processed in aggregate and anonymised form to improve the Service. Google's data practices are described in Google's Privacy Policy. You can opt out by installing the Google Analytics Opt-out Browser Add-on.

8. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation.
  • Transmit spam, conduct unsolicited robocalls, or send deceptive communications.
  • Impersonate any person or entity or misrepresent your affiliation.
  • Upload or distribute malicious code, viruses, or harmful content.
  • Attempt to gain unauthorised access to any system, account, or data.
  • Circumvent usage limits, access controls, or subscription restrictions.
  • Use the Service in a way that could damage, overload, or impair its availability.

We reserve the right to suspend or terminate accounts that violate these rules, with or without prior notice, depending on the severity of the violation.

9. Intellectual Property

9.1 Our Intellectual Property

The Service, including its software, user interface, trademarks, and original content created by us, is owned by or licensed to us. Nothing in these Terms grants you any ownership rights in our intellectual property.

9.2 Your Content

You retain all ownership rights to Content you upload or create through the Service. By using the Service, you grant us a limited, non-exclusive, royalty-free licence to store, process, and transmit your Content solely to the extent necessary to provide the Service to you.

10. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We process personal data in accordance with the General Data Protection Regulation (GDPR), the UK GDPR where applicable, and other applicable data protection laws. For details on how we collect, use, and protect personal data — including data processed on your behalf as a data controller or processor — please review the Privacy Policy.

11. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other in connection with the Service, and to use such information only to fulfil obligations under these Terms. This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES — ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) €100.

14. Indemnification

You agree to indemnify, defend, and hold harmless us, our affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your Content; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party rights.

15. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access immediately and without prior notice if you breach these Terms, if required by law, or if continuing the relationship would expose us or third parties to harm or liability. Upon termination, your right to use the Service ceases, and we may delete your account and associated data in accordance with our data retention policy described in the Privacy Policy.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by e-mail or by posting a notice on the Service at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms. The most current version of these Terms is always available on this page.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with applicable law. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of the applicable jurisdiction. Nothing in this clause prevents either party from seeking urgent injunctive or interim relief in any jurisdiction.

18. Miscellaneous

  • Entire Agreement. These Terms, together with the Privacy Policy and any order forms or subscription agreements, constitute the entire agreement between you and us regarding the Service.
  • Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
  • Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights to any successor, acquirer, or affiliate.
  • Force Majeure. Neither party will be liable for any delay or failure in performance resulting from causes beyond their reasonable control, including acts of God, internet or telecommunications outages, or government actions.
